Legal Counsel
• Provide expert and strategic legal advice to senior management.
• Independently manage all legal matters for the U.S. entity, including regulatory, anti-money laundering, and data protection.
• Serve as the functional lead for a paralegal function.
• Review, draft, and update internal, external, and customer documentation, agreements, and contracts
• Negotiate contracts with potential customers and partners.
• Provide legal support for licensing and registration requirements across all relevant U.S. states and Canada.
• Provide legal and regulatory support for business activities in US and Canada.
AML Officer & Program Oversight
• Act as designated AML Officer and Data Protection Coordinator.
• Maintain and oversee AML and Data Protection programs including adapting and drafting AML policies and procedures.
• Coordinate training for managers and employees as required.
• Ensure compliance with all AML-related regulations and internal standards.
• Oversee AML-related audits, ensuring thorough preparation, execution, and follow-up to maintain compliance and mitigate risk.
Regulatory
• Safeguard and maintain licensing and registration requirements.
• Identify potential areas of compliance vulnerability and risk.
• Develop and implement corrective action plans and provide general guidance and reporting.
• Participate in regulatory compliance projects, including policy development and implementation.
• Support regulatory aspects of product launches and white-labeling initiatives.
• Collaborate with other departments to direct compliance and regulatory issues to appropriate channels for investigation and resolution.
• Develop, periodically review, and update standards of conduct, policies, and work instructions to ensure ongoing relevance.
• Ensure the annual submission of audit reports, profit and loss statements, and balance sheets in coordination with HQ specialist departments.
Corporate Secretary & Governance
• Ensure compliance with corporate governance requirements.
• Maintain corporate records and support governance-related activities.
• Act as corporate secretary for US entity.
Scope of Role:
• Role is business and management facing and relationship building with a need to engage with business managers in order to keep them informed of legal developments and the subsequent impact on the business.
• Act as the primary resource for regulatory matters impacting the business
• Implement relevant legal and organizational actions in alignment with specialist departments within the HQ of AirPlus.
• First contact person towards governmental authorities ensuring all legal requirements are met.
Knowledge & Experience:
• Minimum of 3 years of professional experience in a similar position with experience in US compliance, anti-money laundering, legal counsel, risk management, and internal control
• Juris Doctorate (JD) or equivalent law degree from an accredited institution preferred
• Certified Anti-Money Laundering Specialist (CAMS) preferred
• Experience within financial services, corporate payments, or similarly regulated business
• Experience in liaising with supervisory authorities, auditors, and banks
• Familiarity with operational, financial and banking procedures and applicable regulations is desired.
